Job Description

**Job Title:** Commercial Lawyer (Commercial Counsel) **Role Summary:** Provide full‑stack transactional legal support for complex SaaS commercial contracts, data privacy agreements, and compliance matters. Act as a trusted legal advisor to sales, product, and finance teams, ensuring risk mitigation while honoring commercial objectives. **Expections:** * Manage all commercial contract stages—draft, negotiate, close, and monitor—on a self‑directed basis. * Resolve disputes, oversee compliance training, and drive best practices across the Commercial & Product Support functions. * Operate independently with minimal oversight, balancing legal rigor against commercial timelines. **Key Responsibilities:** * Draft, negotiate, and finalize enterprise SaaS agreements, including in regulated sectors. * Negotiate Data Processing Agreements (DPAs) and privacy‑related clauses. * Resolve informal disputes stemming from contractual relationships. * Provide ad‑hoc legal counsel to sales and cross‑functional teams. * Develop and deliver compliance training on sales activities. * Own and deliver smaller project workstreams related to commercial and product support. * Keep abreast of evolving privacy, GRC, and AI governance regulations. **Required Skills:** * 6+ years of transactional legal experience with complex customer contracts. * Advanced negotiation and drafting proficiency, particularly in SaaS and data‑privacy contexts. * Strong project management and stakeholder ownership. * Exceptional written and verbal communication across all organizational levels. * Strategic thinker with detail orientation and self‑motivation. * Ability to adapt quickly to high‑velocity environments. **Required Education & Certifications:** * Juris Doctor (JD) or equivalent law degree. * Valid admission to practice law in the jurisdiction of employment (e.g., UK, Spain, or US). * Bar or relevant professional licensure preferred.
