Job Description
Job title: Legal Counsel Director, Real Estate Development and Data Centers Role Summary: Provide comprehensive legal support for large‑scale real‑estate development and data‑center projects, including acquisition, financing, power procurement, and joint‑venture structuring. Lead contract drafting, negotiation, and execution while collaborating with cross‑functional teams to ensure timely, strategic legal input and risk mitigation. Expactations: - Deliver high‑quality legal counsel with a strategic mindset, ensuring projects align with business objectives and regulatory requirements. - Act as a trusted partner to engineering, construction, finance, and operations functions, translating complex legal concepts into clear recommendations. - Proactively refine contracting processes, maintain standardized templates, and promote consistency across all real‑estate and power agreements. Key Responsibilities: - Draft, negotiate, and execute acquisition documents (LOIs, PSAs, options, easements, synthetic/ground leases). - Handle PPAs, power procurement, and utility‑related agreements. - Conduct legal due diligence on title, surveys, environmental assessments (Phase I/II), geotechnical studies, permitting, zoning, and land‑use matters. - Resolve title issues, property rights disputes, and boundary conflicts. - Draft customer leases and data‑center service agreements. - Perform legal due diligence for construction loans, joint ventures, and structured financing transactions. - Support recapitalizations, debt raises, and other financial initiatives. - Present legal analysis to non‑legal stakeholders in writing and meetings. - Develop, update, and maintain standardized legal documents, templates, and clause libraries. - Continuously improve contracting workflows and best practices in line with power and real‑estate business teams. Required Skills: - Juris Doctor (JD) from an accredited law school. - Active bar admission in any U.S. state. - 5‑7 years of experience in real‑estate acquisitions and power procurement. - Deep knowledge of construction financing and loan due diligence processes. - Advanced negotiating, drafting, and communication skills. - Strong judgement, analytical, and problem‑solving abilities. - Collaborative, self‑starter attitude capable of thriving in a dynamic, high‑stakes environment. - Preference for experience with data‑center or large‑scale development projects. Required Education & Certifications: - JD from an accredited law school. - Current, active bar license in any U.S. state.
