Job Description
**Job Title:** Corporate Finance Attorney (UK, Remote Contract) **Role Summary:** Provide expert legal review, analysis, and drafting of complex finance agreements for a leading AmLaw 50 law firm client. Support structuring, negotiation, and documentation of secured and unsecured financing transactions, acquisition financings, recapitalizations, loan workouts, and restructurings. Work remotely on a flexible, multi‑month contract basis. **Expectations:** - Minimum 4 years of sophisticated corporate finance experience, preferably at a mid‑to‑large UK law firm. - Licensed solicitor in England & Wales, in good standing. - Excellent academic credentials and outstanding professional references. - Ability to work full‑time, part‑time, or variable hours and meet high‑quality deliverables within agreed timelines. **Key Responsibilities:** - Review, draft, and revise complex financing agreements (secured/unsecured). - Advise on acquisition financing, recapitalizations, loan workouts, and restructuring matters. - Support negotiation and documentation processes for private equity, commercial lenders, and corporate clients. - Ensure compliance with UK finance and corporate law. - Coordinate remotely with client legal teams and stakeholders. - Maintain confidentiality and adhere to professional liability standards. **Required Skills:** - Deep knowledge of corporate finance law and transaction structures. - Proven experience with private equity, commercial lending institutions, and large corporate clients. - Strong analytical, drafting, and negotiation support abilities. - Excellent written and oral communication skills. - Self‑motivated, capable of independent remote work and effective virtual collaboration. - Proficiency with standard legal and document‑management software. **Required Education & Certifications:** - Law degree (LLB or equivalent) with strong academic performance. - Qualified Solicitor of England & Wales, actively licensed and in good standing.
