Job Title: Associate, Investment Banking – ESOP
Role Summary:
Support day‑to‑day execution of Employee Stock Ownership Plan (ESOP) formation, recapitalization, and capital‑markets transactions. Work under product bankers to deliver pitch materials, manage transaction timelines, and present complex deal details to shareholders, boards, and financial institutions.
Expectations:
- 2+ years in investment banking with strong technical and modeling skills.
- Proven ability to manage end‑to‑end deal execution and communicate with senior stakeholders.
- Detail‑oriented, proactive, and capable of thriving in a fast‑paced environment.
- Willingness to learn ESOP nuances and become a subject‑matter expert.
Key Responsibilities:
- Build dynamic three‑statement, valuation (DCF, LBO, comparables, precedent, sum‑of‑parts), and pro‑forma financial models.
- Create pitch decks, CIMs, databooks, lender lists, and funds‑flow schedules.
- Present deal structure, valuation, and financial projections to owners, boards, and shareholders.
- Lead transaction planning, manage information requests, oversee data rooms, and maintain accurate deal timelines.
- Conduct due diligence, quantitative and industry research, and feasibility studies.
- Coordinate with capital‑markets, industry bankers, and private‑capital providers on dual‑track or recapitalization deals.
- Serve as a subject‑matter expert on ESOP transactions and guide teams through execution phases.
Required Skills:
- Advanced Excel (model building, VBA optional), PowerPoint, and Word.
- Expertise in DCF, LBO, comparables, precedent transactions, and sum‑of‑parts valuation.
- Ability to build diverse financial models from scratch.
- Experience with the full deal execution lifecycle, including negotiation and structuring.
- Strong written and verbal communication; capable of presenting to senior executives.
- Analytical, quantitative, and detail‑oriented mindset.
- Team‑oriented, accountable, entrepreneurial, and responsive.
Required Education & Certifications:
- Bachelor’s degree (Finance, Mathematics, Economics, or related field).
- ESOP experience and familiarity preferred but not required.
- No specific certifications required.
