Project Finance Sourcing projects through Africa50 Project Development and other partners, Africa50 Project Finance engages stakeholders post financial close. Following a private equity model, it provides primarily equity and quasi equity with flexible exit options. It typically takes significant minority stakes of over $20 million, focusing on profitability as well as development impact, and playing an active role regardless of the type of investment. Africa50 Infrastructure Acceleration Fund Africa50-IAF is a 12-year closed-ended infrastructure private equity fund established to invest in infrastructure assets that unlock transformative impact, create jobs, and accelerate Africa's green industrial revolution. Job Description
Job title: Legal Counsel, Administration and Governance Role Summary: Provide comprehensive legal and governance support for the Africa50 Group, ensuring robust compliance, efficient board and shareholder engagement, and sound operational contract management across subsidiaries and funds. Expactations: Deliver timely, high‑quality legal advice and documentation; maintain governance integrity; facilitate seamless board communications; manage contractual and fund structuring matters; proactively identify and mitigate legal risks; collaborate effectively with business and investor relations teams. Key Responsibilities: • Advise on international public law, sovereign immunities, and financing institution matters. • Act as primary liaison for investor relations on shareholder and board issues, planning and executing board communication strategies. • Prepare, review and draft minutes, corporate resolutions, and shareholder meeting materials. • Draft, negotiate and finalize operational contracts, rental agreements, utility contracts, and supplier agreements. • Draft early‑stage documents such as NDAs, MOUs, and preliminary agreements. • Counsel on early‑stage structuring, formation, registration and licensing of third‑party funds. • Oversee governance of subsidiaries and coordinate corporate secretarial services with fund administrators. • Advise on board composition, fiduciary duties, and conflict‑of‑interest protocols for fund vehicles. • Facilitate communication and information sharing between the Group and its subsidiaries. Required Skills: • Strong legal drafting and analytical skills. • In‑house legal experience in asset management, private equity, or international financing institutions. • Knowledge of corporate governance, fund structuring, and international public law. • Fluency in written and spoken English. • Business‑oriented, pragmatic problem‑solving ability. • Excellent stakeholder management and influence skills. • Ability to work under pressure, manage competing priorities, and meet tight deadlines. Required Education & Certifications: • Degree in Private Law, Public Law, International Finance, Commercial Law, Comparative or Corporate Law. • Minimum of 3 years at a top‑tier law firm and 5 years in‑house legal practice (private sector).
