**Job Title** M&A Acquisition Manager – Brownfields **Role Summary** Lead the development and execution of acquisition opportunities for agricultural methane projects across France, from prospecting to legal and financial closing. Work under the Commercial Director and Acquisition Head to build a pipeline, execute due diligence, negotiate offers, and secure post‑acquisition transition. **Expectations** - Deliver a robust pipeline of acquisition targets that align with the group’s strategic focus. - Achieve successful closing of targeted acquisitions within agreed timelines while maintaining financial and regulatory compliance. - Contribute to the organization’s market visibility through events, partnership development, and stakeholder engagement. **Key Responsibilities** 1. Develop and maintain a prospect portfolio (existing sites, project holders). 2. Identify, structure, and manage local prescriber networks (agricultural, financial, institutional, technical). 3. Coordinate strategic local partnerships and support marketing/communication visibility initiatives. 4. Conduct site visits, pre‑audits, and full technical/economic audits. 5. Build financial models, business plans, and prepare acquisition offers in collaboration with financial analysts. 6. Lead negotiations, pilot and coordinate technical, financial, legal, and regulatory due diligences. 7. Present investment projects to the Board and Strategic Committee; secure approvals. 8. Oversee legal and financial closings with internal and external counsel. 9. Plan structured handover to the Operations team to ensure smooth post‑acquisition implementation. **Required Skills** - Strong financial statement analysis (income statement, balance sheet, cash flow). - Proficiency in valuation methods and business‑plan modeling. - Knowledge of the agricultural and/or industrial sector; renewable‑energy or methane‑specific experience is a plus. - Excellent written and analytical communication skills. - Team orientation, project‑management ability, meticulous attention to detail. - Ability to manage heavy workload, meet deadlines, and handle high‑pressure decisions. **Required Education & Certifications** - Master’s degree (Bac +5) in Business, Finance, Engineering, Agronomy, or related field. - Relevant certification in finance/M&A or renewable‑energy (preferred).

**Job Title** Corporate & Environmental Lawyer – Internship **Role Summary** Support the legal team on corporate structuring, contract review, and environmental law matters related to renewable energy projects, primarily in biomethane and biogas sectors. **Expectations** - Complete the internship with a minimum of 4 months, ideally 6 months. - Demonstrate progressive autonomy, teamwork, and strong organizational skills. - Deliver high‑quality written outputs and maintain confidentiality. **Key Responsibilities** 1. **Corporate & Project Support** - Prepare and monitor participation agreements in project companies (document reviews, checklists, summaries). - Conduct research and write notes on company structure and governance models. - Review and edit legal documents: shareholder agreements, bylaws, open account agreements, loan contracts. - Assist in legal secretariat tasks: board and shareholders’ meeting agendas, account approvals, statutory amendments, and routine filings. - Support legal audits for projects (data-room preparation, risk registers, red‑flag identification). 2. **Contract, Insurance & Litigation** - Analyze construction, operation/maintenance, and insurance contracts; identify key clauses, potential risks, and overall consistency. - Help prepare pre‑litigation files, timelines, and advisory materials for counsel. 3. **Environmental Law** - Research relevant legislation, regulations, and case law. - Compile thematic legal notes on environmental compliance issues. **Required Skills** - Strong command of French and English legal terminology (written and spoken). - Proficiency in Word, Excel, PowerPoint, and basic legal research tools. - Excellent drafting and summarising abilities with attention to detail. - Ability to work independently while collaborating effectively in a team. **Required Education & Certifications** - Current enrollment in Master 1 or Master 2 (or equivalent) in business law and/or environmental law. - Solid foundation in contract law, obligations, and corporate law. ---
