**Job Title** Tech Transactions Lawyer (Associate) **Role Summary** Provide legal advice on complex, high‑value technology transactions, including software licensing, SaaS/cloud services, and digital transformation projects. Support corporate M&A, joint ventures, and investments with a focus on technology, IP, and data protection. Draft, negotiate, and advise on commercial provisions while mentoring junior staff. **Expectations** - Demonstrate expertise in commercial technology agreements and IP‑rich contracts. - Advise on cloud services, SaaS models, agile development, and digital transformation initiatives. - Apply data protection and cybersecurity knowledge (e.g., GDPR) to commercial agreements. - Deliver high‑quality drafting and negotiation while managing multiple high‑profile clients. - Contribute to knowledge development, precedents, and client training. **Key Responsibilities** - Draft and negotiate software licensing, SaaS, cloud, hosting, professional services, support, maintenance, IT outsourcing, BPO, and managed services contracts. - Advise on infrastructure projects such as agile development, digital transformation, and integration. - Provide technology‑related counsel on M&A, joint ventures, and investment transactions. - Incorporate data protection, cybersecurity, and digital regulatory requirements into contracts. - Work directly with clients and internal stakeholders in a fast‑paced environment. - Mentor junior associates and develop legal precedents and training materials. **Required Skills** - Strong commercial drafting and negotiation skills. - Meticulous attention to detail with a client‑centred approach. - In-depth knowledge of commercial technology, IP, and data protection law. - Ability to translate complex technical concepts into clear legal terms. - Effective communication and client‑management capabilities. - Proactive team collaboration and mentorship aptitude. **Required Education & Certifications** - England & Wales qualified solicitor. - 3–5 years post‑qualification experience at a reputable city or international firm. - Proven track record in commercial technology transactions and IP‑related agreements.
