Job Title: Counsel, Commercial Transactions and Litigation
Role Summary:
Provide legal counsel on day‑to‑day commercial operations, negotiate complex commercial and M&A agreements, oversee litigation and dispute resolution, and advise on employment, intellectual property, data privacy, marketing compliance, and other regulated matters for a high‑growth cannabis company. Act as primary internal counsel for commercial disputes, manage litigation budgets, outside counsel, and internal legal processes.

Key Responsibilities:
1. Advise on day‑to‑day commercial operations and corporate governance.
2. Negotiate, draft, and review complex commercial agreements (partnerships, joint ventures, licensing, supply, service contracts).
3. Support M&A transactions – due diligence, structuring, integration.
4. Lead and manage commercial disputes and litigation: case strategy, budgets, outside counsel coordination, legal holds, document discovery.
5. Provide employment law counsel: union negotiations, hiring, performance management, discipline, terminations, leave policies.
6. Collaborate with securities and public‑company teams on SEC filings, Sarbanes‑Oxley compliance, and public company disclosures.
7. Advise on intellectual property matters, marketing compliance, and data privacy.
8. Develop and implement policies ensuring compliance with applicable laws and regulations, including AI and contract‑management workflows.
9. Monitor legal developments affecting the business and recommend policy adjustments and training initiatives.
Required Skills:
* Strong legal analysis, drafting, and negotiation.

* Familiarity with public‑company matters, SEC filings, Sarbanes‑Oxley Act, and securities regulation.
Required Education & Certifications:
* Juris Doctor (J.D.) degree.
* Active license to practice law in at least one U.S. jurisdiction.
* 3–5 years of legal experience, preferably in a corporate in‑house or regulated industry setting.
* Prior litigation and in‑house experience preferred, though not mandatory.
